Partnerships, unlike companies, are not considered separate legal entities unless they choose to register with the partnership registry. When registered, they gain the ability to sue and be sued. However, if partners opt not to register, the partnership's actions are limited—for instance, it cannot hold assets in its own name. In the event of registration, all partnership assets are jointly owned by all partners, unless specifically entrusted to the care of trustees.
